The information was announced on September 11, 2025 (U.S. time), and was widely reported across international media channels on September 12, 2025., Microsoft and OpenAI signed a non-binding memorandum of understanding (MOU) regarding the restructuring of OpenAI into a for-profit company. This strategic move is designed to help OpenAI raise capital more easily, prepare for a potential IPO in the coming years, and clarify the relationship between Microsoft—its largest investor—and other shareholders.

OpenAI is expected to reach a valuation of around USD 500 billion, with its original nonprofit entity retaining a stake worth over USD 100 billion. This agreement must be approved by regulatory authorities in California and Delaware. Notably, OpenAI may also expand its partnerships with multiple cloud infrastructure providers instead of relying solely on Azure.
